These Terms and Conditions ("Terms") govern your access to and use of the TruVue platform, mobile application, and related services (collectively, the "Service") provided by TrueVue ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. About TruVue

TruVue is a SaaS platform that enables field service companies to document work performed at customer properties. After a technician completes a service visit, TruVue facilitates the upload of a short video summary and automatically delivers a notification — via SMS and/or email — to the end customer with a link to view the video.

The Service is used by three types of users:

  • Service companies — businesses that subscribe to TruVue to deliver transparent service documentation to their customers

  • Technicians — employees or contractors of those companies who record and upload service videos

  • End customers — homeowners and businesses who receive notifications and video links after a service visit

2. Eligibility and Accounts

The Service is intended for use by businesses and their authorized personnel. By creating an account, you represent that you are at least 18 years of age, have the legal authority to enter into these Terms on behalf of yourself or your organization, and that all registration information you provide is accurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access or suspected breach. We reserve the right to suspend or terminate accounts that violate these Terms or are used fraudulently.

3. Service Company Responsibilities

Service companies that subscribe to TruVue ("Company Subscribers") are responsible for:

  • Ensuring that their technicians use the Service in compliance with these Terms

  • Obtaining any necessary consents from their end customers prior to sending SMS or email notifications through the Service

  • Ensuring that all data provided to TruVue — including customer names, phone numbers, email addresses, and service addresses — is accurate and collected lawfully

  • Configuring messaging templates in a manner that is accurate, professional, and compliant with applicable laws

Company Subscribers are solely responsible for the accuracy of service documentation and any representations made to their end customers through videos or messages delivered via TruVue.

4. SMS and Email Notifications

TruVue uses third-party providers, including Twilio, to deliver SMS and email notifications to end customers on behalf of Company Subscribers. By using the Service to send notifications, Company Subscribers represent and warrant that:

  • End customers have provided prior express consent to receive SMS messages as required by applicable law, including the Telephone Consumer Protection Act (TCPA)

  • All messaging complies with applicable federal, state, and local laws and carrier requirements

  • Opt-out requests from end customers are honored promptly

Message and data rates may apply to end customers who receive SMS notifications. Standard carrier messaging rates apply.

TrueVue is not responsible for the delivery, timeliness, or accuracy of messages transmitted through third-party providers, or for any costs incurred by end customers in connection with receiving such messages.

5. Video Content and Data

Technicians may upload video recordings of completed service work through the Service ("Service Videos"). By uploading Service Videos, the Company Subscriber grants TrueVue a limited, non-exclusive license to store, process, transcode, and deliver those videos solely for the purpose of providing the Service.

You are solely responsible for ensuring that Service Videos do not contain sensitive personal information beyond what is necessary to document the work performed, and that their creation and distribution complies with applicable privacy laws and any consent requirements.

We do not sell Service Videos or use them for any purpose other than operating and improving the Service.

6. Prohibited Uses

You agree not to use the Service to:

  • Send unsolicited or deceptive messages to end customers

  • Upload content that is unlawful, defamatory, harassing, or infringes any third-party rights

  • Record or distribute video of individuals without appropriate authorization or consent

  • Reverse engineer, decompile, or attempt to extract the source code of the Service

  • Use automated means to access or scrape the Service without our prior written consent

  • Circumvent any access controls, rate limits, or security measures

  • Violate any applicable local, state, federal, or international law or regulation

7. Data and Privacy

TruVue handles personal information including customer names, phone numbers, email addresses, service addresses, property types, and service videos. Our collection and use of this information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Company Subscribers act as data controllers with respect to their end customers' personal data. TrueVue processes that data on their behalf as a service provider. Company Subscribers are responsible for having lawful bases for the processing they direct TruVue to perform.

8. Third-Party Services

The Service integrates with third-party providers to deliver core functionality, including but not limited to Twilio (SMS delivery), cloud storage providers (video hosting and delivery), and email delivery services. Your use of the Service is subject in part to those providers' terms and acceptable use policies. TrueVue is not liable for any acts or omissions of third-party providers.

9. Intellectual Property

All software, features, interfaces, trademarks, and content comprising the TruVue platform — excluding content uploaded by users — are owned by TrueVue or its licensors and protected by applicable intellectual property laws. These Terms do not grant you any rights in TruVue's intellectual property beyond what is necessary to use the Service as described herein.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. TrueVue makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation. We do not warrant the accuracy or completeness of any content transmitted through the Service.

11. Limitation of Liability

To the fullest extent permitted by applicable law, TrueVue shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of data, loss of revenue, or failure to deliver notifications. Our total liability for any claim arising under these Terms shall not exceed the fees paid by you to TrueVue in the three months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless TrueVue and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right — including claims arising from SMS or email notifications sent to your end customers.

13. Termination

Either party may terminate the Service relationship at any time. We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms or applicable law. Upon termination, your right to access the Service ceases. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Continued use of the Service after updated Terms are posted constitutes acceptance of the changes. We encourage you to review these Terms periodically.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.
